Welcome to Alive Check. By using our service, you agree to these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By accessing or using Alive Check ("Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Alive Check is a "dead man's switch" service that:

• Monitors your well-being through periodic liveness checks
• Notifies your designated emergency contacts if you become unresponsive
• Shares encrypted files with authorized contacts when you are confirmed deceased

The Service is provided on a best-effort basis. We do not guarantee uninterrupted availability or delivery of notifications.

3. Eligibility

You must be at least 13 years old to use this Service. Users between 13 and 18 years old must have parental or guardian consent. By using the Service, you represent that you meet these requirements and, if applicable, have obtained the necessary parental consent.

4. Account Registration

4.1 Account Creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are responsible for:

• Keeping your password, PIN, and seed phrase secure
• All activities that occur under your account
• Immediately notifying us of any unauthorized use

4.3 One Account Per Person

Each person may maintain only one account. Creating multiple accounts may result in termination.

5. User Responsibilities

5.1 Lawful Use

You agree to use the Service only for lawful purposes. You may not use the Service to:

• Violate any applicable laws or regulations
• Harass, threaten, or harm others
• Share illegal, harmful, or inappropriate content
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to systems or data

5.2 Content Responsibility

You are solely responsible for the files you upload and share. You represent that you have the legal right to share such content.

5.3 Emergency Contact Consent

You represent that you have obtained consent from individuals you add as emergency contacts. You are responsible for informing them about the Service and what information they may receive.

5.4 Accurate Information

You agree to keep your contact information and preferences current. Failure to do so may result in missed notifications or service disruption.

6. Subscription and Payment

6.1 Free Trial

New accounts receive a 7-day free trial. A valid credit card is required to start the trial. The trial automatically converts to a yearly subscription at the end of the trial period unless you cancel before the trial ends.

We offer the following subscription plans with corresponding resource limits:

6.3 Payment Processing

Payments are processed through our third-party payment provider. By subscribing, you agree to their terms of service.

6.4 Cancellation and Refunds

• You may cancel your yearly subscription at any time.
• Upon cancellation, your access continues until the end of the current billing period.
• No refunds are provided for partial billing periods.
• Lifetime purchases are non-refundable.

6.5 Lifetime License Scope

Lifetime licenses include perpetual access to all current features of the Service. However, future premium add-on features (such as AI-powered agents or advanced integrations) may require separate purchase and are not guaranteed to be included in the Lifetime license. Core functionality of the Service, including liveness checks, emergency contact notifications, and encrypted file sharing, will always remain available to Lifetime license holders.

6.6 Pause Functionality

Yearly and Lifetime subscribers may temporarily pause liveness checks at any time. While paused:

• No check notifications will be sent
• Your status will not escalate (unresponsive, missing, dead)
• Your data remains securely stored
• You can resume checks at any time

6.7 Price Changes

We may change subscription prices with 30 days' notice. Existing subscribers will be grandfathered at their current rate until renewal.

7. Encryption and Security

7.1 Client-Side Encryption

Files are encrypted on your device before upload. We do not have access to your unencrypted files or encryption keys.

7.2 Seed Phrase

Your 12-word seed phrase is the only way to recover your encryption keys. We cannot recover lost seed phrases. You are solely responsible for its safekeeping.

7.3 Security Limitations

While we implement industry-standard security measures, no system is completely secure. You acknowledge that electronic communications may be intercepted by third parties.

8. Service Availability

8.1 Best Effort

We strive for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control.

8.2 Notification Delivery

We cannot guarantee delivery of notifications. Email providers, mobile carriers, and messaging platforms may block or delay messages. You should configure multiple notification channels as backup.

8.3 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

9. Intellectual Property

9.1 Our Property

The Service, including its design, code, and trademarks, is our property or licensed to us. You may not copy, modify, or create derivative works without permission.

9.2 Your Content

You retain ownership of content you upload. By using the Service, you grant us a limited license to store, process, and transmit your encrypted content as necessary to provide the Service.

10. Disclaimers

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

10.2 No Medical or Legal Advice

The Service does not provide medical, legal, or financial advice. Consult appropriate professionals for such matters.

10.3 No Guarantee of Outcomes

We do not guarantee that:

• Notifications will be delivered on time or at all
• Emergency contacts will receive or act on notifications
• Files will be accessible when needed
• The Service will meet your specific requirements

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR PERSONAL INJURY.

11.2 Maximum Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.3 Essential Purpose

THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share

13. Termination

13.1 By You

You may terminate your account at any time through the account settings. Termination does not entitle you to a refund.

13.2 By Us

We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice, except in cases of fraud or illegal activity.

13.3 Effect of Termination

Upon termination:

• Your access to the Service ends
• Your encrypted files are deleted
• Emergency contact relationships are removed
• We may retain certain data as required by law

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing a formal dispute, you agree to contact us to attempt informal resolution.

14.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in Montreal, Quebec, Canada, except that either party may seek injunctive relief in court.

14.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

15. General Provisions

15.1 Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between you and us.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

15.5 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.
